Welcome to Proofify, a cloud-based software as a service (SAAS) offered by Barrister Direct Services Limited. By accessing or using Proofify, you agree to be bound by these Terms of Use. Please read them carefully.

1. Acceptance of Terms

By accessing or using Proofify, you agree to these Terms of Use, our Privacy Policy, and any additional terms that govern certain products or services. If you do not agree to all these terms, you may not access or use Proofify.

2. User Accounts

To use Proofify, you must create an account and provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Use of Service

You may use Proofify for lawful purposes only. You agree not to use Proofify for any illegal or unauthorized purpose, and you agree to comply with all applicable laws and regulations.

Barrister Direct Services Limited owns all right, title, and interest in and to Proofify, including all intellectual property rights. You may not use Proofify in any manner that infringes our intellectual property rights or the intellectual property rights of others.

8. Indemnification

You agree to indemnify, defend, and hold harmless Barrister Direct Services Limited and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of Proofify or your violation of these Terms of Use.

9. Termination

Barrister Direct Services Limited may, in its sole discretion, terminate or suspend your access to all or part of Proofify for any reason, including without limitation, breach of these Terms of Use. Upon termination, your right to use Proofify will immediately cease.

10. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms of Use shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms of Use

Barrister Direct Services Limited reserves the right to modify these Terms of Use at any time, in its sole discretion. We will notify you of any changes by posting a notice on Proofify or by sending you an email. Your continued use of Proofify after such notice constitutes your acceptance of the modified Terms of Use.

12. Entire Agreement

These Terms of Use constitute the entire agreement between you and Barrister Direct Services Limited with respect to the use of Proofify. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Assignment

Barrister Direct Services Limited may assign these Terms of Use, in whole or in part, at any time without notice to you. You may not assign these Terms of Use or transfer any of your rights or obligations hereunder without the prior written consent of Barrister Direct Services Limited.

14. Waiver

The failure of Barrister Direct Services Limited to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

15. Refunds

Users have the right to cancel any Transaction within 14 days of the date of the Transaction without providing any reason.

To exercise this right, users can use the "Report a Problem" feature within Proofify or contact our support team.

Subscription services can only be cancelled after the initial subscription period and not upon each automatic renewal.

If you choose to cancel, Proofify will process your refund within 14 days from the day we receive your cancellation notice.

Exception: Users cannot cancel a Transaction for the supply of any service within Proofify if the delivery of the service has commenced upon your request and you acknowledge that you thereby forfeit your cancellation right.
